Policy Scope: Comprehensive commercial terms, client engagement protocols, intellectual property rights, and payment terms via PayHere and KOKO BNPL.

1. Company Overview & Acceptance of Terms

These Terms and Conditions ("Terms", "Agreement") govern your commercial engagement with Shan Advertising ("Agency", "we", "us", or "our"), an advertising and media agency operating under the laws of Sri Lanka, based in Colombo and Kalutara, Sri Lanka.

By accessing our website (www.shanadvertising.lk), utilizing our client portal, engaging our creative or media services, or making payments through our accepted payment gateways, you agree to be bound by these Terms. If you are entering into this Agreement on behalf of a corporate entity, you represent that you possess the requisite authority to bind that entity.

2. Creative & Advertising Disciplines

Shan Advertising operates as a modern social-first creative powerhouse and digital media studio offering:

TikTok & Reels Short-Form Video Marketing: Hook-driven vertical video creation, algorithmic distribution, viral pacing, audio trend licensing, and creator collaborations.
Facebook & Meta Paid Ad Campaigns: Target demographic funnels, conversion ads, retargeting blitzes, and multi-page publishing.
Commercial Brand Identity & Graphic Design: Ad carousels, feed creatives, promotional flyers, packaging, and digital branding kits.
Cinematic Video Production & Motion Arts: 4K commercial reels, product showcases, UGC style ads, and dynamic animations.
High-Converting Web & Landing Pages: Mobile-first landing pages engineered specifically to convert TikTok and Facebook ad traffic into leads and sales.

3. Currency, Pricing & Commercial Quotations

All prices and commercial quotations provided on our website or issued via formal client proposals are denominated in Sri Lankan Rupees (LKR) unless explicitly designated otherwise in writing. Formal quotations remain valid for fourteen (14) calendar days from issuance. Production schedules, creator bookings, and advertising campaign setup commence strictly upon confirmation of the agreed deposit or milestone payment.

4. Payment Methods & PayHere Secure Gateway

We facilitate secure, seamless multi-channel online and corporate transactions through our integration with PayHere (PayHere Payments (Pvt) Ltd), a Central Bank of Sri Lanka (CBSL) approved Payment Service Provider operating under PCI-DSS Level 1 compliance.

Accepted Payment Cards: Visa, MasterCard, and American Express (both locally issued and international).
Mobile & Digital Wallets: eZ Cash, mCash, Genie, and FriMi.
Internet Banking: Direct bank debit via leading Sri Lankan commercial banking networks (Sampath Vishwa, Commercial Bank, HNB, Nations Trust Bank).
Direct Corporate Wire Transfer: Available for institutional retainers to our designated Bank of Ceylon / Commercial Bank corporate accounts.

All digital transactions processed via PayHere are encrypted using industry-standard 256-bit SSL encryption. Shan Advertising does not capture, store, or hold any sensitive payment card credentials on our servers.

5. Buy Now, Pay Later (BNPL) with KOKO

To empower businesses and emerging brands with cash-flow flexibility, Shan Advertising partners with KOKO (Koko Networks (Pvt) Ltd) to provide Buy Now, Pay Later (BNPL) financing on eligible creative packages and production orders:

Three (3) Interest-Free Installments: Clients can split the total invoice amount into 3 equal monthly installments without any hidden interest charges when paid on time.
First Payment at Checkout: The first installment (1/3 of invoice total) is deducted at the time of order confirmation. The remaining two installments are automatically debited by KOKO at 30-day intervals (Day 30 and Day 60).
Customer Eligibility: BNPL services are available to customers aged 18 years and above residing in Sri Lanka who possess an active KOKO mobile app account and an active debit or credit card issued by a recognized Sri Lankan bank. Approval and spending limits are determined exclusively by Koko Networks algorithm.
Independent Financing Contract: When you opt to pay via KOKO BNPL, you enter into a legally binding credit arrangement directly with Koko Networks (Pvt) Ltd. You are subject to KOKO's User Terms and Conditions and responsible for maintaining sufficient funds in your linked card. Shan Advertising is not responsible for any late fees, administrative charges, or penalties imposed by KOKO due to overdue payments.
Delivery Continuity: While your installment schedule is managed by KOKO, Shan Advertising executes and delivers your creative project according to the mutually signed milestone agreement upon initial verification from KOKO.

6. Production Timelines, Proofing & Client Approvals

Campaign lead times begin upon receipt of the agreed deposit and all requisite client assets (logos, high-res imagery, product samples, brief sign-off). Draft concepts and video cuts are submitted through our Client Portal for review. Clients are entitled to the revision cycles specified in their selected package. Once a video draft, design, or publishing schedule is formally signed off or approved in writing, Shan Advertising is authorized to initiate final rendering and social media publishing.

7. Intellectual Property & Copyright Transfer

All preliminary concepts, unused design drafts, source files, and working files remain the intellectual property of Shan Advertising. Upon full, final, and unconditional settlement of the invoice (including all KOKO installments where applicable), full commercial publishing rights for the final approved deliverables are assigned to the client for the agreed territory and media channels.

8. Limitation of Liability & Force Majeure

Neither party shall be liable for delays or non-performance caused by circumstances beyond reasonable control, including natural disasters, island-wide power grid interruptions, national broadcast or social media regulatory bans, major platform API outages (Meta / ByteDance TikTok), or civil disturbances. In all circumstances, Shan Advertising's total aggregate liability arising out of or related to this Agreement shall not exceed the total fees received by the Agency for the specific project in dispute.

9. Governing Law & Jurisdiction

This Agreement and all transactions concluded through this platform shall be governed by, interpreted, and construed in accordance with the substantive laws of the Democratic Socialist Republic of Sri Lanka. The parties irrevocably submit to the exclusive jurisdiction of the competent courts of Colombo, Sri Lanka, for the resolution of any dispute or claim.

1. Commitment to Quality & Fair Commercial Practice

At Shan Advertising, we take immense pride in crafting exceptional creative work, architectural brand designs, and high-impact media campaigns. We aim to ensure total transparency regarding service cancellations, milestone revisions, and refund protocols. Because our services encompass custom digital creative labor, bespoke fabrication, and reserved advertising space, this Refund and Cancellation Policy clearly defines customer rights and obligations.

2. Order Cancellation Policy

Cancellation terms depend on the discipline and the operational phase of the contracted campaign:

Phase 1: Creative & Graphic Design (Prior to Project Kickoff): If a client requests cancellation in writing before our creative team has initiated research, concept ideation, or storyboard drafting, a refund of ninety percent (90%) of the deposit will be granted (ten percent (10%) is retained to cover payment processing and administrative onboarding overhead).
Phase 2: Work-in-Progress Creative Concepts: If creative concepts, drafts, or initial revisions have been submitted via our Client Portal, the initial deposit is non-refundable, as it covers billable creative hours and studio resources already expended.
Phase 3: Video Production & Editing Revisions: Once video editing drafts or creative ad assets have been produced according to client brief and delivered via our portal, deposit payments are non-refundable as they cover direct creative labor and rendering resources expended.
Phase 4: Social Media Paid Campaigns & Multi-Page Publishing: Once paid media ad spend has been activated on TikTok Ads Manager or Meta Ads Manager, or once publishing slots on our partner network have gone live, cancellations cannot be accepted, and fees for active ad spend/publishing are strictly non-refundable.

3. Refund Eligibility Criteria

A client is entitled to a formal refund under the following verified circumstances:

Accidental Duplicate Payments: In the event of a system glitch or accidental double submission resulting in multiple debits for the same invoice, the excess payment will be refunded in full.
Agency Inability to Deliver: If Shan Advertising is unable to fulfill a contracted service due to internal reasons or unforeseen business interruptions not caused by client delays or force majeure, the unperformed portion of the milestone fee will be refunded.
Mutual Written Termination: In situations where both parties mutually agree in writing to terminate an ongoing retainer, any advance funds collected for uncommenced future months will be refunded on a pro-rata basis.

4. Mandatory Gateway Refund Method (PayHere & KOKO Strict Protocol)

Mandatory Banking Compliance Protocol

In accordance with the regulations of the Central Bank of Sri Lanka (CBSL), Anti-Money Laundering (AML) standards, and the operational policies of PayHere and Koko Networks, ALL REFUNDS WILL ONLY BE PROCESSED BACK TO THE ORIGINAL PAYMENT INSTRUMENT USED DURING THE INITIAL PURCHASE. Cash refunds, third-party transfers, or alternate card refunds are strictly prohibited.

PayHere Card & Wallet Transactions: If you paid your invoice using a Visa, MasterCard, AMEX card, or digital wallet via PayHere, the approved refund will be routed directly through PayHere back to the exact credit/debit card or wallet account utilized at checkout.
KOKO Buy Now, Pay Later (BNPL) Transactions:
- If an order paid through KOKO BNPL is approved for a refund, Shan Advertising will initiate a merchant reversal request directly with Koko Networks (Pvt) Ltd.
- Future Installments: KOKO will immediately cancel any remaining future installments scheduled on your installment plan.
- Completed Installments: Any installment payments already debited by KOKO will be refunded by Koko Networks directly back to the payment card linked to your KOKO account.
- Shan Advertising cannot provide cash or manual bank refunds directly to clients for KOKO purchases; the settlement must flow through KOKO's automated reversal API to ensure proper account balance reconciliation.
Direct Corporate Bank Transfers: For clients who settled invoices via direct wire transfer (SLIPS/CEFT), approved refunds will be transferred exclusively to the identical bank account name from which the payment originated.

5. Refund Processing Timelines

We handle all refund requests with prompt commercial urgency:

Verification & Approval: Once a refund request is submitted to our team with valid documentation, it will be evaluated and verified within two (2) to three (3) business days.
Gateway Instruction Dispatch: Upon formal approval, our finance team submits the electronic reversal instruction to PayHere or KOKO within one (1) business day.
Bank Reflection Timeline: Depending on the issuing commercial bank (Commercial Bank, Sampath, HNB, NTB, BOC, etc.) and card scheme clearance cycles, the refunded funds typically reflect on the cardholder's statement within five (5) to ten (10) business days.

6. Step-by-Step Procedure to Request a Refund

To request a formal cancellation or refund, please follow this standardized procedure:

Send an official written request from your registered email to shanadvertisinglk@gmail.com.
Include your Invoice Number (e.g. INV-2026-XXXX), PayHere Payment Reference ID, or KOKO Order ID.
Provide a clear explanation of the reason for cancellation or refund request, accompanied by relevant project documentation or error screenshots.
Our team will issue an official acknowledgment ticket within twenty-four (24) hours and guide you through the settlement process.

1. Scope of Service Delivery

Shan Advertising delivers digital creative assets, viral video content, and targeted social media advertising campaigns across Sri Lanka. This Fulfillment and Delivery Policy details our handover protocols, timelines, and verification standards.

2. Digital Creative Asset Delivery

Secure Client Portal: All final high-resolution creative deliverables (including 1080x1920 vertical video MP4s, social carousel graphics, vector master files, and web assets) are delivered securely through the authenticated Shan Advertising Client Portal.
Permanent Download Archive: Clients maintain permanent access to review, inspect, and download completed project archives through their individual client login credentials.
Notification Alerts: When project milestones are completed, automated notifications and verified download links are dispatched to the client's registered email and mobile number via SMS.
Emergency Cloud Backups: In addition to the portal, encrypted cloud download links (Google Drive / Frame.io) are provided upon request.

3. Social Media Publishing & Video Campaign Delivery

TikTok & Meta Publishing Schedules: High-velocity video reels and promotional campaigns are scheduled and published across approved client pages and Shan partner creator networks according to agreed calendar milestones.
Ad Setup & Live Tracking: For paid TikTok and Facebook campaigns, our growth specialists configure audience targeting, conversion tracking pixels, and budget schedules. Live analytical dashboards or campaign performance reports are provided to the client.
Asset Handover Sign-off: Final approved high-definition video files (1080x1920 MP4/MOV) and graphic creatives are released to the client via secure portal download links.

4. Turnaround Times & Rush Orders

Standard turnaround timelines are specified within each service package. Rush orders requiring overnight turnaround or rapid video editing turnaround are accommodated subject to capacity and rush charges agreed upon in writing.
